Terms of Service
These terms are a legal agreement between you and BaseURL. Please read them carefully. By creating an account, creating an API key, adding credit or otherwise using BaseURL, you agree to them. If you use BaseURL on behalf of a company or other organization, you confirm that you are allowed to accept these terms for it, and "you" includes that organization.
1. Who we are
BaseURL ("BaseURL", "we", "us") provides an OpenAI-compatible application programming interface (the "API") that lets developers send requests to open-weight AI models, together with a web dashboard at app.baseurl.dev and this website (together, the "Service").
BaseURL is operated by [Company legal name and registered address]. You can contact us at [email protected].
2. Eligibility
To use the Service you must:
- be at least 18 years old and able to enter into a binding contract;
- be located in, and use the Service from, a country we support, as listed during signup or in your dashboard;
- not be a person or entity that is the subject of sanctions imposed by the United Nations, Nigeria, the United States, the European Union or the United Kingdom, or located in a country or region subject to comprehensive sanctions; and
- not have had a BaseURL account terminated by us for breaking these terms.
3. Accounts and security
- Give us accurate information when you sign up and keep your email address up to date. We use it for security and billing notices.
- Keep your password and API keys secret. Do not put API keys in public code repositories, mobile apps or browser code where others can read them.
- You are responsible for all use of the Service through your account and your API keys, including usage by your team members, your applications and their users, and any charges that result, whether or not you authorized them. Per-key budgets in the dashboard help limit exposure; use them.
- If you believe a key or your account has been compromised, revoke the key in your dashboard straight away and tell us at [email protected].
- We may require you to verify your email address, identity or payment details before using some features.
4. Early access
The Service is currently in early access. This means:
- we approve accounts in batches and at our discretion, and we may decline or delay an application without giving a reason;
- features, available models, limits and payment methods may change, be added or be removed, sometimes at short notice; and
- the Service may be less stable than a mature product, and we do not offer a service level agreement during early access.
Some features, including naira top-ups through Paystack, may be shown as "coming soon" and are not available until we announce them.
5. Acceptable use
You must use the Service lawfully and responsibly. You must not use the Service, or allow anyone else to use it through your account, to:
- create, store or share content that is illegal where you or your users are located, or that infringes the rights of others;
- generate, request or distribute child sexual abuse material or any content that sexualizes minors. We report such material to the relevant authorities;
- create or spread malware, or plan or carry out attacks on computer systems, networks or people;
- harass, threaten, defame, impersonate or discriminate against people, or incite violence;
- send spam or carry out fraud, phishing, scams or other deceptive practices;
- bypass or attempt to bypass rate limits, spending limits, budgets, authentication, billing or other safety and security measures, or probe, scan or test the Service for vulnerabilities without our written permission;
- resell, sublicense or provide access to the Service, or to our API keys, as a standalone service to third parties without our written permission. Building your own product on top of the Service for your own users is allowed;
- interfere with or overload the Service or other customers' use of it; or
- break the usage policies of the model developers and inference providers, or the license terms of the models you use. Each model's license and acceptable use rules apply to your use of that model, in addition to these terms.
We may investigate suspected breaches and may block requests, revoke keys or suspend accounts to protect the Service, other customers or the public.
6. Third-party models and providers
The models available through BaseURL are open-weight models developed by third parties and run by third-party inference providers on our behalf. We choose and contract with those providers, but we do not develop the models.
- AI outputs can be inaccurate, incomplete, offensive or out of date, and the same request can produce different results. We do not guarantee the accuracy, quality or suitability of any output.
- You are responsible for how you use outputs, including checking them before relying on them, and for any decisions or content you produce with them. Do not rely on outputs as a substitute for professional advice, for example medical, legal or financial advice.
- The models and providers available can change. We may add, update, replace or retire a model, and we will try to give reasonable notice before retiring a model that you are actively using.
7. Prepaid credit
The Service is prepaid. You add credit to your account balance and usage is deducted from that balance.
- Top-ups and exchange rate. You pay top-ups in naira through our payment processor, Paystack. Usage is priced in US dollars. When you top up, we convert your payment to account credit at the exchange rate shown to you before you pay. That rate is locked for that top-up and is not changed afterwards.
- Credit is not money. Credit is a prepayment for the Service only. It is not a bank deposit, electronic money or a stored-value account, it does not earn interest, and it cannot be exchanged for cash except as described in this section.
- Non-transferable. Credit belongs to the account it was added to and cannot be sold or transferred to another account or person.
- Usage charges. We charge for each request at the prices shown in your dashboard at the time of the request, based on the tokens or other units it used. A request may place a temporary hold on part of your balance while it runs; any amount not used is returned to your available balance when the request finishes.
- Refunds of unused credit. If you close your account, you can ask us to refund your unused credit. We will refund it to the original payment method, less any non-refundable payment processor fees, within a reasonable time, unless the credit relates to a payment that is disputed, suspected to be fraudulent, or was added in breach of these terms. Credit given to you free of charge, for example promotional credit, is not refundable. If you believe a charge is wrong, contact [email protected] and we will review it in good faith.
- Taxes. Prices may be shown inclusive or exclusive of applicable taxes as stated at checkout. You are responsible for any taxes that apply to your use of the Service, other than taxes on our income.
8. Pricing changes
We may change our prices. We will give you at least 14 days' notice of a price increase by email or in your dashboard, except where a model provider changes its prices to us at shorter notice, in which case we will give as much notice as we reasonably can. New prices apply to requests made after the change takes effect. Price decreases can take effect immediately.
9. Payment disputes
If you dispute a payment or start a chargeback with your bank or card issuer, we will freeze your account while the dispute is reviewed. While frozen, your API keys stop working and you cannot add credit or create new keys. If the dispute is resolved in our favour, or you withdraw it, we will unfreeze your account. If it is resolved in your favour, we will remove the related credit from your balance and may close your account. Please contact us first: most billing problems can be solved quickly by email.
10. Suspension and termination
- You can stop using the Service and ask us to close your account at any time.
- We may suspend or restrict your account or API keys immediately if we reasonably believe you have broken these terms, your account is compromised, your use creates a security, legal or financial risk to us or others, or we are required to by law or by a payment processor or provider.
- We may terminate your account for a serious or repeated breach, or for any other reason with at least 30 days' notice. If we terminate without cause, we will refund your unused credit as described in section 7.
- Sections that by their nature should survive termination, including those on prepaid credit, intellectual property, disclaimers, limitation of liability, indemnity and governing law, continue to apply after your account is closed.
11. Data and privacy
Our Privacy Policy explains what personal data we collect and how we use it. In short: we do not log or store your prompts or completions; they pass through to the inference provider only to generate your response. We keep usage records, such as token counts, model, time and amounts, for billing, security and legal purposes.
12. Intellectual property
- Your content. As between you and us, you own the inputs you send to the Service and, to the extent permitted by law and the applicable model licenses, the outputs you receive. You give us only the rights we and our providers need to process your inputs and return outputs to you.
- Your responsibility. You confirm that you have the rights needed to send your inputs to the Service. Outputs may be similar to content generated for others, and we do not claim that outputs are free of third-party rights.
- Our Service. We and our licensors own the Service, including our software, website, dashboard, documentation and brand. These terms do not give you any rights in them other than the right to use the Service as described here.
- Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
13. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or that the Service or outputs will be accurate, uninterrupted, secure or error-free. Nothing in these terms excludes any rights you have under consumer protection laws that cannot be excluded.
14. Limitation of liability
To the fullest extent permitted by law:
- we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Service or these terms; and
- our total liability for all claims arising out of or in connection with the Service or these terms is limited to the amounts you paid us for the Service in the three (3) months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
15. Indemnity
You agree to defend and indemnify BaseURL and its officers, employees and contractors against any claims, losses, damages, fines and reasonable costs (including legal fees) brought by a third party that arise from your inputs, your use of outputs, your applications, your breach of these terms, or your breach of any law or third-party right. We will tell you promptly about any such claim and let you control its defence, with our reasonable cooperation.
16. Changes to these terms
We may update these terms from time to time. Each version has a version string, shown at the top of this page. When we make material changes, we will tell you by email or in your dashboard before they take effect. After a new version is published, you will need to accept it in your dashboard before you can create new API keys or add credit. If you do not agree to a new version, you may stop using the Service and ask us to close your account and refund your unused credit as described in section 7.
17. Governing law and disputes
These terms are governed by the laws of the [Federal Republic of Nigeria - confirm]. Before starting any formal proceedings, please contact us at [email protected] so we can try to resolve the issue informally. If we cannot resolve it within 30 days, either of us may bring proceedings in the courts of [jurisdiction - confirm].
18. General
- These terms, together with the Privacy Policy and any terms shown to you at checkout, are the entire agreement between you and us about the Service.
- If any part of these terms is found unenforceable, the rest stays in effect.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a merger, acquisition or sale of assets, with notice to you.
- We are not responsible for delays or failures caused by events beyond our reasonable control, including outages at our providers, payment processors or network operators.
- We may send you notices by email to the address on your account or in your dashboard.
